Registration & Verification
Only eligible EliteClub members are able to take part in the Blocktrade Securities Offering. Before the investment starts, all potential investors need to be verified by KYC/KYB.
Securities Offering Part II
In Part II of the Blocktrade Securities Offering, any surplus shares are offered to investors whose demand could not be met in Part I.
Securities Offering Part I
The Blocktrade Securities Offering is made of two parts. In Part I, there is a reserved number of shares for every investor. However, each investor may subscribe to as many shares as he wants. Since there is an overall limit on the number of shares, all investments in excess of the reserved amount are treated on a first-come, first-served basis.
Eligible EliteClub Member
The Blocktrade Securities Offering is exclusive to EliteClub members, who had an active membership before December 4th, 2019.
KYC/KYB
Each potential investor has to be verified through KYC (Know your customer)/KYB (Know your business). This not only ensures legal compliance for Blocktrade but is also one of many measures to protect investors.
Priority Points
In Part I of the Securities Offering, Priority Points can be used to get a rebate on the price per share. The maximum amount of Priority Points that can be used is determined by the EliteClub membership tier.
Reserved Amount
The Securities Offering is structured to ensure all eligible investors get the opportunity to invest. Therefore, a number of shares has been reserved for each investor, determined by their EliteClub membership tier.
First-come-first-served Investment
In Part II there are no reserved amounts, so each investor may subscribe to as many shares as he wants. The allocation of shares is based on the first-come-first-served principle.
Consolidation Period
Before the Securities Offering Part II begins, matching between the subscribed amounts, invested funds, and used Priority Points is made.
Priority Points

All investors that have not used their Priority Points yet, will have the opportunity to use them in Part II at the same terms and conditions. The maximum amount of Priority Points that can be used is determined by the EliteClub membership tier:

Membership tier 1 (Rising Star): 40,000 Priority Points
Membership tier 2 (Executive): 120,000 Priority Points
Membership tier 3 (VIP): 400,000 Priority Points
Allocation of Shares
After the Securities Offering Part II shares will be matched between subscribed amount and invested funds and will be allocated to the respective investors.

Blocktrade has to follow strict regulatory procedures when applying for a Securities Offering approval. Until the Prospectus is approved, we are limited to the amount of information we can share about the Securities offering.

The next chapter of the new and upgraded Blocktrade will be spearheaded by Bernhard Blaha, an experienced manager with 8 years of industry experience as serial blockchain entrepreneur and co-creator and board member of the Digital Asset Association of Austria (DAAA).

By his side there will be standing a strong advisory board, helping him navigate the scaling phase through technical, regulatory and operational waters, including the team that has built the technology behind Blocktrade.

For your own safety do not recommend any investment into any securities offerings to your friends, promise them any investment returns, nor provide investment or legal advice if you are not licensed to do so. The participation in this offering is limited only to eligible Elite Club members.

The main goal was to improve the mobile app and the web app in terms of UX (user experience). We introduced plenty of new features and expanded on already available features to cater even more experienced traders. These terms that you might stumble over in the Blocktrade Securities Offering communication, are explained in the glossary.

A set of laws, regulations and procedures intended to prevent individuals and entities from disguising illegally obtained funds as legitimate income. AML obligations fall on financial institutions and other supervised entities, and require such entities to monitor their clients’ behavior to prevent money laundering and report any suspicion of money laundering they detect to relevant regulators.

A set of laws, regulations and procedures intended to prevent individuals or entities from contributing funds to terrorist organizations or their sympathizers. CFT obligations likewise fall on financial institutions and other supervised entities, and require such entities to monitor their clients’ behavior to prevent such transactions and report any suspicious transactions they detect to relevant regulators.

Before the Part II begins, matching between the subscribed amounts, invested funds, and used Priority Points is made. The allocation of shares exceeding the guaranteed amount is based on the first-come-first-draw principle. Investors who were the first to invest in Part I will be considered earlier in the allocation for the part exceeding the guaranteed amount.

A first sale of securities to the general public, usually with simultaneous admission to trading on a regulated market.

A multilateral system, usually operated and/or managed by an investment firm, which brings together or facilitates the bringing together of multiple third-party buying and selling interests in financial instruments in a way that results in a contract.

Regulated market and MTF are largely subject to the same basic regulatory requirements, with some simplifications applicable to MTF. Also, a security admitted to trading on an MTF is not considered ‘listed‘ and thus being a public company for the purposes of regulatory oversight and disclosure requirements. Examples: trading systems of large investment banks.

In financial regulation, a politically exposed person (PEP) is an individual who has been entrusted with a prominent public function. A PEP generally presents a higher risk for potential involvement in bribery and corruption by virtue of their position and the influence that they may hold. A financial institution or other supervised entity may onboard such clients, but must monitor their behavior them more closely.
A prospectus is a formal document that is required by and filed with the relevant authority that provides details about an investment offering to the public. The document can help investors make more informed investment decisions because it contains a host of relevant information about the investment security.

A sale of securities to the general public.

A multilateral system, operated and/or managed by a market operator, which brings together or facilitates the bringing together of multiple third-party buying and selling interests in financial instruments in a way that results in a contract.

Examples: traditional stock exchanges, such as the Frankfurt and London Stock Exchanges.
