Blocktrade has to follow strict regulatory procedures when applying for a Securities Offering approval. Until the Prospectus is approved, we are limited to the amount of information we can share about the Securities offering.

A Securities Offering is performed with the latest technologies where the procedure is fully digital, marketed using the European Prospectus Directive / Regulation, ensures investors’ protection and transparency from the issuer.
Currently participation is limited to Elite Club members, who had an active Elite Club membership before December 4th, 2019.
To comply with all regulatory requirements, we are required to identify all our investors, shareholders, and incoming/outgoing transactions. We must also adhere to strict procedures regarding how we store and use the personal information you provided for your safety and security as well as our liability.

These terms that you might stumble over in the Blocktrade Securities Offering communication, are explained in the glossary.
A set of laws, regulations and procedures intended to prevent individuals and entities from disguising illegally obtained funds as legitimate income. AML obligations fall on financial institutions and other supervised entities, and require such entities to monitor their clients’ behavior to prevent money laundering and report any suspicion of money laundering they detect to relevant regulators.
Before the Part II begins, matching between the subscribed amounts, invested funds, and used Priority Points is made. The allocation of shares exceeding the guaranteed amount is based on the first-come-first-draw principle. Investors who were the first to invest in Part I will be considered earlier in the allocation for the part exceeding the guaranteed amount.
A multilateral system, usually operated and/or managed by an investment firm, which brings together or facilitates the bringing together of multiple third-party buying and selling interests in financial instruments in a way that results in a contract.
Regulated market and MTF are largely subject to the same basic regulatory requirements, with some simplifications applicable to MTF. Also, a security admitted to trading on an MTF is not considered ‘listed‘ and thus being a public company for the purposes of regulatory oversight and disclosure requirements. Examples: trading systems of large investment banks.

The Blocktrade Securities Offering is made of two parts. In the Part I, each investor may subscribe to as many shares as he wants, while his EliteClub Membership Tier determines how many shares are guaranteed in the Part I, in the case of over-subscription (meaning all the shares are sold quickly).
